Terms of Use

1. Agreement to these terms

These Terms of Use apply to clockwisecapital.com and the pages, tools and messages that come from it, including Kronos, the Cash Flow Portfolio Planner (together, the “Site”). The Site is operated by Clockwise Capital, LLC (“Clockwise,” “we,” “us”). By using the Site you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

These Terms cover use of the Site only. Advisory services are provided only to clients under a signed written agreement with Clockwise; if that agreement and these Terms differ, the agreement controls.

2. Who we are

Clockwise Capital, LLC is an investment adviser registered with the U.S. Securities and Exchange Commission and located in Miami, Florida. Registration does not imply any particular level of skill or training. Clockwise may only transact business in those states in which it is registered, or qualifies for an exemption or exclusion from registration requirements. Our Form ADV Part 2A and Form CRS describe our services, fees and conflicts of interest; they are available at adviserinfo.sec.gov or from us on written request.

3. Information only: not advice, not an offer

The Site is limited to general information about our advisory services and related educational content. Nothing on the Site is personalized investment, tax or legal advice, a recommendation to buy, sell or hold any security, or an offer or solicitation to effect transactions in securities. Any direct communication with a prospective client is conducted by a representative who is registered, or qualifies for an exemption or exclusion from registration, in the state where the prospective client resides.

Investing involves risk, including possible loss of principal. Past performance is not indicative of future results. Consult a qualified financial adviser and/or tax professional before acting on any strategy.

4. Kronos and other tools

Kronos and the scores, estimates and analyses it produces are for general educational and informational purposes only. Kronos uses artificial intelligence, which can be inaccurate, incomplete or out of date, and its figures are hypothetical illustrations based on the information you enter. Using Kronos does not create an advisory, fiduciary or other professional relationship with Clockwise. Our Full Disclosures apply to Kronos and are part of these Terms.

5. Your information and your account

You must be at least 18 years old to use the Site. Please give us accurate information; results depend on it, and we do not independently verify what you enter. If you create an account, keep your sign-in details confidential, you are responsible for activity under your account, and you should tell us promptly if you believe someone else has used it. We may suspend or close access to the Site or an account that is misused.

Some features rely on third-party services, for example to connect an outside financial account. Those services have their own terms and privacy practices, which apply when you use them.

6. Text messages and calls

Calls. When you verify your mobile number in Kronos, you agree that Clockwise Capital may call that number about your results and to schedule your review, including by automated or prerecorded means.

Text messages. We text you only if you opt in by checking the text-message box in Kronos. Texting is optional: consent is not a condition of purchase. Our SMS Terms & Conditions describe the program. In short:

• What you will receive: appointment scheduling and reminders, account and plan updates, and responses to your questions.
• How often: message frequency varies.
• Cost: message and data rates may apply.
• Opting out: reply STOP to any message to stop texts. Reply HELP for help, or contact us at the details in section 15.
• Delivery: mobile carriers are not liable for delayed or undelivered messages.

7. Email

If you give us your email address, we may send you your results and information related to them. Every marketing email includes a link to unsubscribe.

8. Acceptable use

You agree not to:

• use the Site for anything unlawful or to give false information about yourself or anyone else;
• access the Site by automated means, such as bots or scrapers, beyond ordinary browsing;
• try to get around its security, overload it, or access areas or data you are not authorized to use;
• copy, reverse engineer or resell Kronos or other Site content, or use it to build a competing product.

9. Ownership of the Site

The Site, Kronos, and their content, design, software and trademarks belong to Clockwise or its licensors. You may view the Site and download or print pages for your own personal, non-commercial reference, keeping any notices intact. No other right or license is granted.

10. Links to other sites

The Site may link to or include information prepared by unaffiliated third parties. Clockwise does not make any representations or warranties as to the accuracy, timeliness, suitability, completeness or relevance of that information, and takes no responsibility for it. It is provided solely for convenience.

11. Disclaimers

There are no warranties implied. To the fullest extent permitted by law, the Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of accuracy, availability, merchantability or fitness for a particular purpose. We do not promise that the Site will be uninterrupted or error-free.

12. Limitation of liability

To the fullest extent permitted by law, Clockwise and its owners, employees and agents are not liable for any indirect, incidental, special or consequential damages arising from your use of, or inability to use, the Site, including decisions made based on information on the Site.

Nothing in these Terms waives or limits any right you have under federal or state securities laws, or any duty Clockwise owes to its advisory clients.

13. Changes to these terms

We may update these Terms from time to time. The effective date at the top of this page shows when they last changed. Using the Site after a change means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, except where federal law applies.
